Terms & Conditions

1. Agreement to Terms
These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you") and Data Evangelist Central Inc. ("Company," "we," "us," or "our"), concerning your access to and use of our consulting, data analytics, software development, and web development services. By engaging our services or accessing our platforms, you agree that you have read, understood, and agreed to be bound by all of these Terms & Conditions.
2. Intellectual Property Rights
Unless otherwise agreed in a separate Statement of Work (SOW) or Master Services Agreement (MSA), Data Evangelist Central Inc. retains all intellectual property rights in the proprietary methodologies, platforms, and code libraries developed prior to or independently of the client engagement. Custom deliverables explicitly commissioned and paid for by the client will become the intellectual property of the client upon final payment, subject to any underlying open-source licenses or proprietary frameworks owned by us.
3. Client Responsibilities
To ensure the successful delivery of our services, you agree to provide timely access to necessary data, systems, and personnel. You warrant that you have all necessary rights, licenses, and permissions to provide any data or materials to us for the purpose of the engagement. Data Evangelist Central Inc. will not be held liable for delays or failures in service delivery resulting from incomplete, inaccurate, or delayed materials provided by the client.
4. Confidentiality
Both parties agree to hold in strict confidence any proprietary or confidential information disclosed during the course of the engagement. This includes business strategies, financial data, client lists, and technical specifications. Confidentiality obligations shall survive the termination of any agreement and remain in effect for a period of three (3) years, unless otherwise stipulated by law or a separate Non-Disclosure Agreement (NDA).
5. Limitation of Liability
In no event shall Data Evangelist Central Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any unauthorized access to or alteration of your transmissions or data.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the provincial or federal courts located in British Columbia.
7. Modifications to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
